• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under any applicable laws or regulations

We reserve the right to verify your eligibility at any point and to deny or revoke access if eligibility requirements are not met.

3. Account Responsibilities

When you create an account on the Service, you agree to:

• Provide accurate, current, and complete information during registration and throughout the application process
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to or use of your account
• Accept responsibility for all activities that occur under your account
• Not create multiple accounts or share account access with others

We reserve the right to suspend or terminate accounts that violate these responsibilities.

4. Grant Application Process

The NexusChain Foundation grant program awards grants of up to $1,000,000 in cryptocurrency (BTC, USDC) to eligible small businesses. By submitting a grant application, you acknowledge and agree that:

• Submitting an application does not guarantee approval or receipt of any grant funds
• All information provided in your application must be truthful, accurate, and complete
• Providing false, misleading, or fraudulent information will result in immediate disqualification and may lead to legal action
• Applications are reviewed at our sole discretion, and all decisions are final
• The application process involves multiple stages, each of which must be completed satisfactorily
• We may request additional documentation or information at any time during the review process

5. Course and Assessment Requirements

As part of the grant application process, applicants are required to complete educational courses and assessments. You agree that:

• You will personally complete all required courses, lessons, quizzes, and examinations
• You will not use third parties, automated tools, or other dishonest means to complete coursework
• Minimum passing scores and completion requirements must be met to advance in the application process
• Course content is provided for educational purposes and does not constitute professional financial, legal, or business advice
• We reserve the right to modify course content, requirements, and passing criteria at any time

6. Cryptocurrency Wallet and Seed Phrase

The platform may generate a cryptocurrency wallet for you as part of the grant disbursement process. By using the wallet features, you acknowledge and agree that:

• You are solely responsible for securing your wallet seed phrase and private keys
• While we encrypt seed phrases using AES-256 encryption on our servers, you should also maintain your own secure backup
• Loss of your seed phrase may result in permanent, irreversible loss of access to your funds
• We are not liable for any loss of cryptocurrency resulting from compromised credentials, lost seed phrases, or unauthorized access to your wallet
• Cryptocurrency values are volatile and may fluctuate significantly; the value of grant funds at the time of disbursement may differ from the value at the time of withdrawal
• You are responsible for understanding and complying with all tax obligations related to cryptocurrency received through the Service

7. Grant Disbursement

Grant funds are disbursed in cryptocurrency (BTC or USDC) subject to the following conditions:

• Successful completion of all required application stages, courses, and assessments
• Passing AML (Anti-Money Laundering) and KYC (Know Your Customer) verification
• Submission and approval of required compliance documentation, including proof of funds and source of funds declarations
• Grant funds may be disbursed in milestones or installments as determined by NexusChain Foundation
• Withdrawal of funds may require additional verification steps and is subject to processing times
• We reserve the right to withhold, delay, or revoke grant disbursements if any terms are violated or if fraud is suspected

8. Intellectual Property

All content on the Service, including but not limited to text, graphics, logos, icons, images, audio, video, course materials, and software, is the property of NexusChain Foundation or its licensors and is protected by intellectual property laws. You may not:

• Copy, modify, distribute, or reproduce any content from the Service without prior written consent
• Use our trademarks, logos, or branding without authorization
• Reverse engineer, decompile, or disassemble any software or technology used in the Service

9. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Submit fraudulent applications or provide false information
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems
• Interfere with or disrupt the integrity or performance of the Service
• Use automated systems, bots, or scripts to interact with the Service
• Engage in money laundering, terrorist financing, or any other financial crime
• Circumvent or attempt to circumvent any security measures

10. Limitation of Liability

• NexusChain Foundation shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• We shall not be liable for any loss of cryptocurrency, data, profits, or business opportunities
• Our total liability for any claims arising under these Terms shall not exceed the amount of grant funds actually disbursed to you
• We are not responsible for losses resulting from market volatility, blockchain network issues, or third-party service failures

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. NexusChain Foundation expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

12. Indemnification

You agree to indemnify, defend, and hold harmless NexusChain Foundation, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to your use of the Service, violation of these Terms, or infringement of any rights of any third party.

13. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, including but not limited to:

• Violation of these Terms
• Submission of fraudulent or misleading information
• Failure to comply with AML/KYC requirements
• Suspected involvement in illegal or unauthorized activities
• At your request through your account settings

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration or in the appropriate courts of the United States.
